Terms of Service

The legal terms governing the use of our salary audit SaaS platform.

1. Purpose of the ToS

These General Terms of Use (hereinafter "ToS") are intended to define and frame the conditions of access and use of the Cervilo website and its software solutions (SaaS, AI Simulator).

By accessing the site and creating a professional user account, the User declares to have read and unconditionally accepted these ToS.

2. Access to the platform and B2B Account

The use of the complete Cervilo simulator and its audit functions requires the creation of a professional account. Account creation is reserved for legal entities and professionals acting strictly within the scope of their commercial or HR activity.

The User is solely responsible for the confidentiality of their credentials. Any action performed from their space is deemed to have been performed by them.

3. User Obligations

The service offered by Cervilo relies entirely on the quality of the data provided by the client company.

  • Legality of data: The User undertakes to upload only lawful data (DSN, HRIS exports) for which they have a legal processing right within the meaning of the GDPR.
  • Validation of results: Although Cervilo uses a rigorous compliance engine based on current law, the User remains ultimately responsible for validating their "eliminable" workforce, FTEs, and submitting their scores (Index, BDESE) to the competent labor administration.
  • Fair use: The User is strictly prohibited from attempting any reverse engineering, massive code extraction, or injecting malicious scripts onto the Cervilo platform.

4. Intellectual Property (SaaS License)

The technical architecture, budget prediction algorithms, DSN analysis algorithms, user interface, raw design, and graphic charter constitute the exclusive intellectual property of Cervilo.

Subscription to one of our plans does not transfer any intellectual property rights. Cervilo only grants a temporary, personal, non-exclusive, and non-transferable license to use the software solution.

5. Limitation of Liability

Cervilo implements an obligation of means to offer a cutting-edge salary analysis solution. Access to the platform is provided 24/7 subject to potential maintenance operations.

Legal non-subrogation clause: Cervilo's algorithms model legal compliance (notably relative to the 2026 Directive), however, the Tool cannot replace a full legal and tax analysis required by the unique situation of one of your employees (labor courts, specific Labor Inspection audit, corporate lawyers).

Consequently, Cervilo's financial liability cannot be engaged regarding the amount of any potential financial penalty imposed on the client company by the Labor Inspection concerning its Index.

6. Evolution of Laws (Applicable Law)

Cervilo commits to continuously updating its audit engine to follow changes in the application texts of the European Directive. These ToS are governed by French law.

In the event of a dispute between the parties regarding the interpretation or execution of the terms, they will strive to find an amicable solution. Failing this, the dispute will be brought before the competent Commercial Court (Paris).
